　　11.如果延遲裝運是由于買方無法及時提供此類證據(jù)，在這種情況下賣方不違約。

　　If shipment is delayed because the buyer fails to furnish such proof timely，the seller will not be deemed to have breached the contract.

　　12.買方同意貨物被運到美國并統(tǒng)一貨物不會被運往其他國家。

　　The buyer covenants that the goods will be shipped to and delivered in American and that the buyer will not ship or deliver the goods to any other country.

　　13.買方有權(quán)在賣方的營業(yè)地檢驗或讓其代理人檢驗貨物。

　　The buyer is entitled to inspect，or to have its agent inspect，the goods at the seller＇s place of business.

　　14.在交貨后90天內(nèi)，賣方可免費由買方更換任何有瑕疵的貨物。

　　Within 90 days after delivery，the seller agrees to replace the goods found defective free of charges.

　　15.買方將用即期匯票付款。

　　The buyer will pay the price by sight draft.

　　16.買方獲得由美國政府頒發(fā)的進口許可證，賣方獲得由中國政府頒發(fā)的出口許可證。

　　The buyer will be responsible for obtaining import license issued by the appropriate agency of USA goverment，the seller will be responsible for obtaining export license issued by the appropriate agency of China goverment.

　　17.如果任何一方通知另一方不想或不能履行協(xié)議，接到通知的一方有權(quán)撤消合同。

　　IF either party notifies the other party that it will not ro is unable，to perform this agreement，the party receiving notice is entitled to cancel the agreement.

　　18.撤消的日期是收到不履行協(xié)議通知的日期。

　　The date of the cancellation will be the date on which the party receives the notice of nonperformance.

　　19.由于一方違約而給另一方造成損失，就另一方所遭受的損失的合理估計，各方已達成一致。

　　It is agreed that the parties have considered what would be a reasonable estimate of the damages each would suffer if the other were to breach this agreement.

　　20.如果賣方不能交貨，賣方應向買方支付一百萬美元的賠償金。
