Paragraph headings are for convenience only and are not intended to expand or restrict the scope or substance of the provisions of this agreement. Wherever used herein, the singular shall include the plural, the plural shall include the singular, and pronouns shall be read as masculine, feminine or neuter as the context requires. The prevailing party in any litigation, arbitration or mediation relating to this agreement shall be entitled to recover its reasonable attorneys fees from the other party for all matters, including but not limited to appeals. Pinellas County, Florida, shall be proper venue for any litigation involving this agreement. This agreement may not be assigned or delegated by either party without the prior written consent of the other party.

　　雙方認為，時間因素至關重要。本協議的訂立地為美國佛羅里達州，應受佛羅里達州法律的管轄。本協議作為雙方的完整協議，只能由受到強制執行的一方通過書面簽署的文件加以變更。本協議應有兩份（或以上）的正本，由協議雙方簽署。各段落標題詞的使用僅是為了方便，不能擴大或限制本協議條款的范圍與實質內容。本協議中任何一處使用的復數當然包括單數，反之亦然；本協議中任何一處使用的代名詞應當根據文本需要確定其性別，即男性、女性或者中性。在與本協議有關的訴訟、仲裁或者調解中，勝訴的一方有權要求對方為其支付一切相關而合理的律師費用，包括（但不限于）行使請求權的費用。涉及本協議的一切訴訟應由佛羅里達州派尼拉思郡法院管轄。經一方書面同意，另一方可將本協議轉讓或委托給第三方。
